1. Introduction & Acceptance
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and VALNYX LTD ("VALNYX", "Company", "we", "us", "our"), a company registered in England and Wales.
These Terms govern your access to and use of:
- The VALNYX mobile applications for iOS and Android
- The VALNYX website at getvalnyx.com and all subdomains
- All features, tools, content, and services provided through the above (collectively, the "Services")
BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY.
If you do not agree to these Terms, you must not access or use the Services.
If you are using the Services on behalf of a business, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to that entity.
2. Definitions
For the purposes of these Terms:
- "Account" means the unique account you create to access our Services
- "Content" means any text, data, information, images, documents, or other materials
- "User Content" means Content you upload, submit, store, or transmit through the Services
- "Premium" means the paid subscription tier of our Services
- "Free Tier" means the basic version of our Services available without payment
- "Valerie" means our AI-powered financial assistant feature
- "Financial Data" means information related to your finances including bills, income, assets, liabilities, budgets, and savings goals
- "Device" means any electronic device capable of accessing the Services
- "App Store" means Apple App Store or Google Play Store, as applicable
3. Eligibility
3.1 Age Requirements
- You must be at least 16 years old to create an account and use the Services
- If you are between 16 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf
- We do not knowingly collect information from children under 16. If we learn that we have collected information from a child under 16, we will delete it
3.2 Geographic Availability
- The Services are intended for use by residents of the United Kingdom and European Economic Area
- We make no representations that the Services are appropriate or available for use in other locations
- Access from jurisdictions where the Services are illegal is prohibited
3.3 Legal Capacity
By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement.
4. Account Registration & Security
4.1 Account Creation
To access most features of the Services, you must register for an Account. When creating an Account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your Account information
- Create only one Account for your personal use (unless authorised for business use)
- Not use another person's Account without their permission
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password and Account credentials
- All activities that occur under your Account, whether or not authorised by you
- Using strong, unique passwords and enabling available security features (biometric authentication, PIN)
- Notifying us immediately at security@getvalnyx.com if you become aware of any unauthorised access or security breach
4.3 Account Verification
- We require email verification for all new Accounts
- We may require additional verification to protect your Account or prevent fraud
- Failure to complete verification may result in limited access to Services
5. Description of Services
VALNYX provides personal finance management tools designed to help you track, organise, and understand your financial information. The Services include:
5.1 Core Features
- Bill Tracking: Add, manage, and track recurring bills and one-time expenses with automatic payment reminders
- Asset Management: Track stocks (250+), cryptocurrencies (150+), ETFs, real estate, precious metals, and other assets with automatic price updates
- Liability Tracking: Monitor loans, mortgages, credit cards, and other debts
- Net Worth Calculation: Real-time calculation of your total assets minus liabilities
- Income Tracking: Record and categorise income sources
- Budget Management: Create and monitor budgets by category
- Savings Goals: Set financial goals and track progress
- Financial Calendar: View upcoming bills and financial events
5.2 Premium Features
- Valerie AI Assistant: AI-powered financial guidance and insights
- Document Storage: Upload and store financial documents
- Bill Scanning: Scan bills with automatic data extraction (OCR)
- Advanced Analytics: Detailed charts, trends, and financial reports
- PDF Reports: Generate and export monthly financial reports
- Unlimited Data: No limits on bills, assets, or transaction history
- Cloud Sync: Automatic backup and sync across devices
- Priority Support: Faster response times for support queries
5.3 Service Limitations
The Services do NOT include:
- Direct access to your bank accounts (we do not require or store bank login credentials)
- Automatic transaction imports from banks (you manually enter or scan data)
- Financial advisory services (see Section 8)
- Tax filing or preparation services
- Investment trading or execution
6. Subscriptions & Billing
6.1 Subscription Plan
VALNYX offers a single Premium subscription plan:

6.2 Payment Processing
- Mobile App Purchases: Subscriptions purchased through the iOS app are processed by Apple. Subscriptions purchased through the Android app are processed by Google Play.
- We Do Not Store Payment Details: We never receive or store your credit card, debit card, or bank account information. All payment processing is handled by Apple or Google.
- By subscribing, you authorise recurring charges to your payment method through the applicable App Store
6.3 Automatic Renewal
- Subscriptions automatically renew at the end of each billing period unless cancelled
- Renewal charges are processed within 24 hours before the end of the current period
- Your subscription will continue until cancelled, even if you stop using the Services
6.4 Cancellation
- You may cancel your subscription at any time through your device's subscription settings (Settings → [Your Name] → Subscriptions on iOS, or Google Play Store → Subscriptions on Android)
- Cancellation takes effect at the end of the current billing period
- You will retain access to Premium features until the end of your paid period
- Upon expiration, your Account will revert to the Free Tier with limited functionality
6.5 Refunds
- Refunds for mobile app purchases are handled by Apple or Google according to their respective refund policies
- To request a refund, contact Apple Support or Google Play Support directly
- We cannot process refunds for purchases made through the App Stores
- No refunds are provided for partial billing periods or unused Premium features
6.6 Price Changes
- We reserve the right to change subscription prices with at least 30 days' notice
- Price changes will not affect your current billing period
- Continued use after a price change constitutes acceptance of the new price
- You may cancel before the price change takes effect
7. Free Tier & Promotional Offers
7.1 Free Tier Limitations
The Free Tier includes limited access to the Services:
- Up to 10 bills tracked
- Up to 5 assets tracked
- Basic net worth calculation
- Standard analytics and dashboard
- No document storage
- No Valerie AI features
7.2 Free Trials
- We may offer free trial periods for Premium features at our discretion
- Free trials automatically convert to paid subscriptions unless cancelled before the trial ends
- You may only use one free trial per Account
- We reserve the right to limit or revoke trial access for abuse
7.3 Promotional Codes
- Promotional codes are subject to their specific terms and expiration dates
- Codes are non-transferable and have no cash value
- We reserve the right to modify or discontinue promotional offers at any time
8. No Financial Advice Disclaimer
⚠️ IMPORTANT: VALNYX IS NOT A FINANCIAL ADVISER. THE SERVICES ARE FOR INFORMATIONAL AND ORGANISATIONAL PURPOSES ONLY.
8.1 Informational Purpose Only
The Services, including all features, tools, insights, and content provided by Valerie AI:
- Are intended solely to help you organise and understand your financial information
- Do NOT constitute financial, investment, tax, legal, accounting, or other professional advice
- Should NOT be relied upon as the sole basis for making financial decisions
- Are NOT a substitute for professional advice tailored to your specific circumstances
8.2 No Guarantees
- We do not guarantee the accuracy, completeness, reliability, or timeliness of any information provided through the Services
- Asset prices, currency exchange rates, and other financial data are provided by third parties and may be delayed or inaccurate
- Past performance data does not guarantee future results
- Any projections, forecasts, or estimates are speculative and may not be accurate
8.3 Consult Professionals
Before making significant financial decisions, you should:
- Consult a qualified financial adviser regulated by the Financial Conduct Authority (FCA)
- Seek advice from a qualified tax professional or accountant
- Obtain legal advice for matters with legal implications
- Verify all information independently before acting upon it
8.4 Regulatory Status
VALNYX LTD is NOT authorised or regulated by the Financial Conduct Authority (FCA) or any other financial regulatory body. We do not provide regulated financial services.
9. AI Services (Valerie)
9.1 Nature of AI Services
Valerie is an AI-powered assistant designed to help you understand your financial data. When using Valerie, you acknowledge that:
- Responses are generated by artificial intelligence and may contain errors or inaccuracies
- Valerie's suggestions are general in nature and not tailored professional advice
- AI responses should be verified independently before being acted upon
- Valerie cannot access external systems, execute transactions, or take actions on your behalf
9.2 AI Limitations
- AI responses may occasionally be incomplete, inaccurate, or inappropriate
- Valerie may not have access to the most current financial news or events
- Complex financial situations may exceed Valerie's analytical capabilities
- AI cannot consider personal circumstances not reflected in your app data
9.3 AI Data Processing
- Conversations with Valerie may be processed by third-party AI providers
- Your conversations are NOT used to train public AI models
- We retain conversation history to provide context for future interactions

9.4 Responsible Use
You agree to use Valerie responsibly and not to:
- Attempt to manipulate or "jailbreak" the AI
- Use Valerie to generate harmful, illegal, or inappropriate content
- Rely on Valerie for time-sensitive or critical financial decisions
- Share AI responses as professional financial advice
10. User Content & Data
10.1 Ownership
You retain full ownership of all User Content you upload, submit, or store through the Services. Your financial data belongs to you.
10.2 Licence Grant
By using the Services, you grant VALNYX a limited, non-exclusive, royalty-free licence to:
- Store, process, and display your User Content to provide the Services to you
- Create backups of your User Content for data protection purposes
- Use anonymised, aggregated data for service improvement (with no personally identifiable information)
This licence terminates when you delete your Account, except for data retained pursuant to legal obligations.
10.3 Data Accuracy
- You are responsible for the accuracy of User Content you provide
- We do not verify the accuracy of financial information you enter
- Inaccurate data may result in incorrect calculations and insights
10.4 Data Export
- You may export your data at any time through the app's export feature
- Exported data will be provided in common formats (CSV, PDF)
- Some processed data (e.g., AI-generated insights) may not be exportable
10.5 Data Deletion
- You may delete your Account and all associated data at any time
- Account deletion is permanent and cannot be reversed

11. Acceptable Use Policy
11.1 Prohibited Activities
You agree NOT to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Engage in fraud, money laundering, or other financial crimes
- Upload viruses, malware, or other harmful code
- Attempt to gain unauthorised access to our systems or other users' Accounts
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble the Services
- Scrape, data mine, or use automated tools to extract data
- Circumvent security features or usage limits
- Impersonate another person or entity
- Use the Services for commercial purposes without authorisation
- Resell, sublicence, or redistribute access to the Services
- Harass, threaten, or abuse other users or our staff
11.2 Enforcement
We reserve the right to:
- Investigate suspected violations of these Terms
- Suspend or terminate Accounts that violate these Terms
- Remove or disable access to User Content that violates these Terms
- Report illegal activity to law enforcement authorities
- Cooperate with law enforcement investigations
12. Intellectual Property
12.1 Our Intellectual Property
The Services and all associated intellectual property rights are owned by VALNYX LTD or its licensors. This includes:
- The VALNYX name, logo, and branding
- The "Valerie" name and character
- Software, source code, and algorithms
- User interface designs and user experience
- Written content, graphics, and images
- All patents, copyrights, trademarks, and trade secrets
12.2 Limited Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:
- Download and install the app on devices you own or control
- Access and use the Services for your personal, non-commercial use
This licence does not include any right to:
- Modify, adapt, or create derivative works
- Distribute, sublicence, lease, or rent the Services
- Reverse engineer or extract source code
- Use the Services for commercial purposes without written permission
12.3 Trademarks
VALNYX, the VALNYX logo, Valerie, and other marks are trademarks of VALNYX LTD. You may not use these marks without our prior written permission.
12.4 Feedback
If you provide feedback, suggestions, or ideas about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback without restriction or compensation.
13. Third-Party Services
13.1 Third-Party Integrations
The Services may integrate with or rely on third-party services, including:
- Financial data providers (stock prices, cryptocurrency prices, exchange rates)
- AI service providers (for Valerie)
- Cloud infrastructure providers
- Analytics providers
13.2 Third-Party Terms
- Your use of third-party services is subject to their respective terms and privacy policies
- We are not responsible for third-party services, their availability, or their content
- Third-party data may be delayed, inaccurate, or unavailable
13.3 App Store Terms
Your use of the Services is also subject to the terms of the App Store from which you downloaded the app:
14. Service Availability
14.1 Availability
- We strive to maintain 99.9% uptime but do not guarantee uninterrupted availability
- Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control
- We will attempt to provide advance notice of planned maintenance when possible
14.2 No Guarantee
We do not guarantee that:
- The Services will be available at any particular time
- The Services will be error-free or uninterrupted
- Defects will be corrected within a specific timeframe
- The Services will meet your specific requirements
15. Modifications to Service
15.1 Changes to Services
We reserve the right to:
- Modify, update, or discontinue any feature of the Services
- Add new features or functionality
- Change the user interface or user experience
- Discontinue the Services entirely with reasonable notice
15.2 Notice
- Material changes will be communicated via email or in-app notification
- We will provide at least 30 days' notice before discontinuing the Services
- Your continued use after changes constitutes acceptance
16. Termination
16.1 Termination by You
- You may terminate your Account at any time through the app settings
- Termination does not entitle you to a refund of prepaid subscription fees
- You may request a copy of your data before termination
16.2 Termination by Us
We may suspend or terminate your Account immediately if:
- You breach these Terms
- You engage in fraudulent or illegal activity
- You pose a security risk to our Services or other users
- Required by law or legal process
- Your Account has been inactive for an extended period (with prior notice)
16.3 Effect of Termination
Upon termination:
- Your right to use the Services immediately ceases
- We may delete your Account and User Content (subject to legal retention requirements)
- Provisions that should survive termination will remain in effect (including Sections 8, 12, 17, 18, 19, 20, 21)
17. Disclaimers & Warranties
17.1 "As Is" Provision
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
17.2 Disclaimer of Warranties
To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of any content
- Warranties that defects will be corrected
17.3 Third-Party Content
We do not warrant the accuracy, completeness, or reliability of any third-party content, including financial data, asset prices, or exchange rates.
18. Limitation of Liability
18.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALNYX LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, use, goodwill, or other intangible losses
- Damages arising from your use of or inability to use the Services
- Damages arising from any conduct or content of third parties
- Damages arising from unauthorised access to or alteration of your data
- Damages arising from reliance on any information provided through the Services
18.2 Liability Cap
Our total aggregate liability to you for all claims arising from or relating to these Terms or the Services shall not exceed the greater of:
- The amounts you paid to us in the twelve (12) months preceding the claim; or
- One hundred pounds sterling (£100)
18.3 Essential Terms
You acknowledge that these limitations are essential terms of the Agreement, and we would not provide the Services without them.
18.4 Statutory Rights
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
19. Indemnification
You agree to defend, indemnify, and hold harmless VALNYX LTD and its officers, directors, employees, contractors, agents, licensors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of or access to the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your User Content
- Any financial decisions made based on information from the Services
20. Dispute Resolution
20.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at legal@getvalnyx.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.
20.2 Mediation
If informal resolution fails, either party may propose mediation through a mutually agreed mediator before proceeding to litigation.
20.3 No Class Actions
To the extent permitted by law, you agree to resolve any disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
21. Governing Law & Jurisdiction
21.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
21.2 Jurisdiction
Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
21.3 European Union Users
If you are a consumer in the European Union, you may also have the right to bring proceedings in your country of residence under local consumer protection laws.
22. Consumer Rights
22.1 UK Consumer Rights
If you are a consumer in the United Kingdom, you have certain statutory rights that cannot be excluded or limited. These Terms do not affect those rights.
22.2 Right to Cancel (Digital Content)
Under the Consumer Contracts Regulations 2013, you have the right to cancel digital content purchases within 14 days. However, by downloading or using the app, you acknowledge that:
- Digital content delivery begins immediately upon purchase
- You consent to waive your 14-day cancellation right once delivery begins
22.3 Complaints
If you have a complaint about the Services, please contact us at complaints@getvalnyx.com. We aim to resolve all complaints within 14 days.
23. Changes to Terms
23.1 Right to Modify
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Services.
23.2 Notice of Changes
- Minor changes: We will update the "Effective Date" at the top of these Terms
- Material changes: We will notify you via email and/or in-app notification at least 30 days before the changes take effect
23.3 Acceptance of Changes
Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and may cancel your Account.
24. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:
- That provision shall be modified to the minimum extent necessary to make it valid and enforceable
- If modification is not possible, that provision shall be severed from these Terms
- The remaining provisions shall continue in full force and effect
25. Entire Agreement & Miscellaneous
25.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and VALNYX LTD regarding the Services.
25.2 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
25.3 Assignment
- You may not assign or transfer your rights or obligations under these Terms without our written consent
- We may assign our rights and obligations under these Terms to a successor in interest (e.g., in a merger or acquisition) without your consent
25.4 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except that Apple and Google are third-party beneficiaries of these Terms for app-related provisions.
